Several sources now identify cyber-security as a major challenge to corporate wellbeing, national security and to the national economy. The Director of the FBI, the Secretary of Defense, the United States Attorney for the Southern District of New York, and the President of the United States have all recognized the threat, but what is corporate America doing in response, and is that response reasonable and adequate? The panel will describe the nature of the threat, consider the issue in the context of corporate governance, and explore a range of potential pragmatic responses.

Joseph A. Grundfest W.A. Franke Professor of Law and Business; Senior Faculty Rock Center for Corporate Governance at Stanford University; and former Commissioner, United States Securities and Exchange Commission Joseph A. Grundfest is a nationally prominent expert on capital markets, corporate governance, and securities litigation. His scholarship has been published in the Harvard, Yale, and Stanford law reviews, and he has been recognized as one of the most influential attorneys in the United States. Professor Grundfest founded the Stanford Securities Class Action Clearinghouse, which provides detailed, online information about the prosecution, defense, and settlement of federal class action securities fraud litigation. He also launched Stanford Law School’s executive education programs and continues to co-direct Directors’ College, the nation’s leading venue for the continuing professional education of directors of publicly traded corporations. In addition, he is a senior faculty member with the Arthur and Toni Rembe Rock Center for Corporate Governance. He is also Co-founder and Director of Financial Engines. Before joining the Stanford Law School faculty in 1990, Professor Grundfest was a commissioner of the Securities and Exchange Commission, served on the staff of the President’s Council of Economic Advisors as counsel and senior economist for legal and regulatory matters, and was an associate at Wilmer, Cutler & Pickering. Early in his career he was a research associate at the Brookings Institution and an economist and consultant with the RAND Corporation. George Kurtz Co-founder and CEO, CrowdStrike George Kurtz is a serial entrepreneur who is co-founder and CEO of CrowdStrike, a cutting edge big data security technology company focused on helping enterprises and governments protect their most sensitive intellectual property and national security information. George Kurtz is also an internationally recognized security expert, author, entrepreneur, and speaker. He has almost twenty years of experience in the security space and has helped hundreds of large organizations and government agencies around the world tackle the most demanding security problems. His entrepreneurial background and ability to commercialize nascent technologies has enabled him to drive innovation throughout his career by identifying market trends and correlating them with customer feedback, resulting in rapid growth for the businesses he has run. His prior roles include McAfee’s Worldwide Chief Technology Officer and General Manager. Prior to joining McAfee, Kurtz was Chief Executive Officer and co-founder of Foundstone, Inc., which was acquired by McAfee in October 2004. He also authored the best selling security book of all time, Hacking Exposed: Network Security Secrets & Solutions. |

Dan Siciliano is a member of the law school faculty and teaches Corporate Finance, Venture Capital and Corporate Governance courses. He was named as one of the 100 most influential people in the boardroom and corporate governance community by Directorship Magazine in 2009 and 2010. He completed both his graduate fellowship in Economics and his JD at Stanford University and previously served as the CEO and remains director of LawLogix Group, Inc. – a global technology company.
